Account Acceptance Terms
Site Update Service reserves the right to choose, offer and provide website maintenance and updates to websites with themes that do not endanger animal, children or human rights; contain offensive adult, radical and violent content (text or images).
Our company reserves the right to assess a prospective clients’ site for this purpose before executing project proposal for a client.
Free Trial Terms
Validity of official Site Update Service promotional offers advertised online, in email or through newsletters is as indicated in the ad and correspondence. Confirmation of the Free Product offers will be done via our Acceptance Letter and project outline.
Pay Arrangement Terms
Site Update Service services are pre paid, where project outlines are submitted and agreed upon it is only upon payment confirmation via Pay Pal, SSL, Google Checkout or Credit Card billing services we have subscribed to.
Pay arrangements, unless agreed by Sullivan Development Company and as instructed by the same, pay installments are discouraged.
Extra hours are to be paid before the update as indicated in the proposal until then maintenance or web works will be done upon pre-arranged agreement.
Waived Charges
Site Update Service will waive time equivalent charges ONLY when:
Minor changes like slight typographical, grammatical and spacing errors are seen.
Corrections and minute edits on set-ups, application installation erroneous entries.
Site Update Service makes up for lost time during power outages, disrupted ISP connection and erroneous entries.
Refund Request
Logos
In any event, any deposited funds for a project shall not be subject to refund after delivery of the first set of logos. Unless Sullivan Development Company cancels or terminates your Contract for a reason other than your breach or non-performance, Sullivan Development Company shall not refund any portion of your purchase price. If for any reason a refund is granted the $99 deposit will be kept by Sullivan Development Company, for the services that have been rendered.
Under no circumstances will refunds be granted for projects with continuous periods of inactivity of 90 days or greater, be it a lack of contact by the customer or otherwise.
Sullivan Development Company will only refund your money if our management team has deemed that Sullivan Development Company has not delivered services in an efficient and effective manner as promised. After you complete a refund request form, and if a refund is approved, our cash refund amount is as stated above.
Satisfaction Guaranteed Provision
The “satisfaction guarantee” means that all reasonable efforts will be made to provide a service that meets your reasonable specifications within the confines of each package. This means that if you are still not satisfied after the number of updates in the package you ordered and after all revisions have been made to your final result, Sullivan Development Company will attempt create an outcome that will be acceptable to you. However, if a “reasonable person” defined under Pennsylvania law would be satisfied based on the specifications you set out on the order form, we are not obligated to continue creating further results. If you failed to provide “reasonable” information that will assist our team in coming up with a result, then Sullivan Development Company will not be held liable.
If Sullivan Development Company believes the “reasonable person” would have accepted the result, your only recourse is to commence arbitration at your expense with an arbitrator sanctioned and approved by the American Arbitration Association or by the Better Business Bureau. Further, you agree that Sullivan Development Company’s appearance at said arbitration can be via phone and that the arbitrator can only make a ruling requiring Sullivan Development Company to create additional website services, refund your amount less certain deductions, or rule that the current results would have been accepted by a reasonable person. If the arbitrator rules that a reasonable person would not have been satisfied by our results, Sullivan Development company will comply with any additional work ordered to be created by the arbitrator.

YOU HEREBY EXPRESSLY ACKNOWLEDGE AND AGREE THAT THE INFORMATION, SOFTWARE, CODES, PRODUCTS, SERVICES, TEXT, GRAPHICS, LOGOS OR OTHER ITEMS AND MATERIALS PROVIDED OR MADE AVAILABLE BY Sullivan Development Company ARE PROVIDED “AS IS” WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, Sullivan Development Company HEREBY DISCLAIMS ALL IMPLIED WARRANTIES OF ANY KIND, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, SUITABILITY, INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS, OR FITNESS FOR A PARTICULAR PURPOSE. Sullivan Development Company MAKES NO WARRANTY THAT ITS PRODUCTS OR SERVICES WILL BE PROVIDED IN A TIMELY AND SECURE MANNER, OR WITHOUT ERRORS OR DEFECTS, OR THAT ITS PRODUCTS OR SERVICES WILL NOT INFRINGE ON THE INTELLECTUAL PROPERTY OR PROPRIETARY RIGHTS OF ANY THIRD PARTY. Sullivan Development Company DOES NOT WARRANT THAT THE RESULTS OBTAINED FROM YOUR USE OF THE PRODUCTS OR SERVICES PROVIDED BY Sullivan Development Company WILL MEET YOUR EXPECTATIONS.

Allocation of the service hours per Package is indicated in the project outline submitted by the Project manager, no project is started unless explicit instructions, agreement and complete access to site or demo site is given by YOU.
The equivalent hours on the package does not constitute hours to be worked for in a day. To be able to service more clients, we schedule every task. Please refer to the project outline given by Project Manager.
Last minute changes, delay of submitting additional info, images, content or access to site, indecision of client with preference which cause the project to exceed the package hours will be billed before project tasks are completed.

Extra hours worked due to task load and additional instructions from Clients are considered chargeable to the client as follows…

General Webmaster Works packages each have a limited number of revisions, changes done beyond the required limit means extra service charge.
Task scheduling per client is done by the Project Manager, since we service several clients a day, we refer to the Project outline as basis on how much time is spent per client. Site Update Service packages and their hours worth is spread and used up in (1) month excluding holidays and weekends. We have several clients in every 8-hour work day, every minute we work on updates is spent on a client.
Accessibility Terms
Site Update Service is not liable for changes not possible due to withheld access to a website data base or c-panel. It is the Client’s duty to inform SUS about the access user names and passwords. We prefer to have no one from the Client’s company who has access to the data base, site admin, FTP and C-panel be allowed to change any setting while SUS is still actively updating and maintaining Client website.
Expiration of Services
We reserve the right to forfeit the remaining time that has not been used by the CLIENT within 1 month. To avoid abrupt cessation of service, please fill-up Expiration Notice form delivered a week before subscription ends.
Materials and Products Used
All the software we use are the best and easiest to use, IF a client wants a specific program to be used which is not in our technical file vault, then the Client must produce a copy of their preferred program.
Copyright and Content Ownership
Website content, images and text, are assumed the clients’ own. Images downloaded by our staff as per directive of Client is limited to the “FREE” kind.
Text content and articles are assumed original, Site Update Service shall not be held responsible for copyright or infringement law.
For every image, content and software given to SUS by a client we are absolutely exempt from any liability of Trademark or Copyright law. Every image, content and software given by the Client is received in good faith, with no worries of prosecutions nor involvement in infringement.
Project Termination
Site Update Service has the right to reject and terminate services for sites that violate restrictions as stated in Valid Accounts criteria.
Disclaimer
Site Update Service is not responsible and will not vouch for every link or website content of client and link partners UNLESS indicated or endorsed by SUS.
Privacy
Site Update service upholds every client and prospective client right to privacy. Information and access to Client files and records are restricted to key personnel who directly handle client information.
Site Update Service has a non-disclosure policy of vital information and access.
Client content images and attachments are the property of Client-unless taken from our portfolio or photo stock..
The confidential nature of and/or privilege in the file enclosed is not waived or lost as a result of a mistake or error in this file.
